Acceptance of terms
These Terms of Service ("Terms") govern your access to and use of Nexalware's website, dashboard, API, SDKs, and connected-device infrastructure (together, the "Service"), provided by Nexalware ("Nexalware," "we," "us," or "our").
By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you're using the Service on behalf of an organization, you're agreeing on its behalf and confirming you have the authority to do so. If you don't agree, don't use the Service.
Description of the Service
Nexalware is infrastructure for connecting physical devices, machines, and agents to software and AI systems: registering devices, issuing and managing credentials, orchestrating commands, and streaming telemetry. The Service is under active development; features, limits, and supported protocols may change, expand, or be deprecated over time, and we'll do our best to give notice of changes that materially affect you.
Accounts and eligibility
You must provide accurate information when creating an account and keep your credentials (password, API keys, and device secrets) confidential. You're responsible for all activity that happens under your account, including through team members you invite.
You must be at least 16 years old to use the Service. If you sign in with Google or GitHub, that provider's own terms also apply to your use of their sign-in system.
Acceptable use
You agree not to:
- Use the Service to control devices you don't own or lack authorization to operate.
- Attempt to bypass rate limits, quotas, or access controls, or interfere with the Service's infrastructure or other users' use of it.
- Use the Service for anything illegal, or to build systems intended to cause physical harm.
- Reverse-engineer, decompile, or attempt to extract the source of the Service, except to the extent applicable law expressly permits it.
- Resell or sublicense access to the Service without our written agreement.
We may suspend or restrict access to protect the Service, other users, or connected physical systems, especially where a violation could affect device safety or platform stability.
Devices, API keys, and credentials
You're responsible for the devices, agents, and integrations you connect to Nexalware, including that they behave safely and as intended. Commands you configure, whether directly, via rules, or via an API key or AI agent acting on your behalf, are treated as authorized actions on your account.
API keys and device credentials are yours to manage: rotate or revoke them if you suspect they've been exposed. We encrypt device credentials at rest and gate viewing them behind your account password as a step-up check. Keep that password secure, since it protects real access to physical devices.
Fees and billing
Some parts of the Service are offered under a free tier with usage limits (devices, message volume, and similar); paid plans remove or raise those limits. Fees, where applicable, are described at checkout or in your plan settings and are non-refundable except as required by law or as we otherwise state. We'll notify you before a change to your plan's pricing takes effect.
Intellectual property
Nexalware retains all rights to the Service itself: the platform, dashboard, API, SDKs, and underlying software. You retain all rights to your own data, device configurations, and anything you build on top of the Service. We don't claim ownership of what you create using Nexalware as infrastructure.
Termination
You may stop using the Service and delete your account at any time from Settings. We may suspend or terminate access if these Terms are violated, if required by law, or if continued access would pose a security or safety risk. We'll aim to give notice where reasonably possible. Provisions that by their nature should survive termination (such as intellectual property and limitation of liability) continue to apply.
Disclaimers
The Service is provided "as is" and "as available." We don't guarantee the Service will be uninterrupted, error-free, or that it will meet every use case, particularly for physical/industrial control scenarios, where you're responsible for your own safety mechanisms, fail-safes, and redundancy independent of Nexalware. To the extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
Limitation of liability
To the maximum extent permitted by law, Nexalware won't be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of data, revenue, or physical property, arising from your use of the Service, including from devices or physical systems you connect to it. Our total liability for any claim relating to the Service is limited to the amount you paid us in the twelve months before the claim arose, or $100 if you're on the free tier.
Changes to these terms
We may update these Terms as the Service evolves. If we make material changes, we'll notify you by email or through the Service before they take effect. The "Effective date" at the top of this page reflects the most recent revision. Continuing to use the Service after a change takes effect means you accept the updated Terms.
